Conditions of Sale

These Conditions of Sale ("Conditions") govern the supply of goods and services by integratedAIR Systems Ltd ("the Company") to its customers. By placing an order with the Company, the customer agrees to be bound by these Conditions to the exclusion of all other terms.

1. Definitions

In these Conditions, "Goods" means the equipment, systems and materials to be supplied, and "Services" means any design, installation, commissioning or maintenance work carried out by the Company. "Customer" means the person or organisation that places an order.

2. Orders and specifications

All orders are subject to acceptance by the Company in writing. Any specification, drawing or quotation provided is intended to give a general description only and does not form part of the contract unless expressly agreed. The Customer is responsible for ensuring that the Goods and Services ordered are suitable for their intended purpose.

3. Prices and payment

Prices are exclusive of VAT and any delivery charges unless otherwise stated. Unless credit terms have been agreed in writing, payment is due as follows:

• A deposit of 40% on acceptance of order;
• A further 40% prior to delivery; and
• The remaining 20% within 30 days of commissioning.

The Company reserves the right to charge interest on overdue accounts at the statutory rate.

4. Delivery

The Company will use reasonable endeavours to meet any agreed delivery date, but such dates are estimates only and time shall not be of the essence. The Company shall not be liable for any delay caused by circumstances beyond its reasonable control.

5. Warranty

The Company warrants that the Goods will be free from defects in materials and workmanship for a period of 12 months from the date of commissioning. This warranty does not cover fair wear and tear, or damage arising from misuse, neglect or unauthorised modification.

6. Limitation of liability

Nothing in these Conditions excludes or limits the Company's liability for death or personal injury caused by negligence, or for any matter which it would be unlawful to exclude. Subject to that, the Company's total liability arising under or in connection with the contract shall not exceed the price paid for the Goods and Services.
